These Terms of Service (“Terms”) govern access to and use of the website https://xoirelabs.in and the services provided by Xoire Labs (“Xoire,” “we,” “our,” or “us”).

By accessing or using the Services, you (“Customer,” “you”) agree to be bound by these Terms. If you do not agree, do not use the Services.

The Services are intended for business use only (B2B).

You must be 18 years or older and have authority to bind your organization.

Use by consumers or minors is not permitted.

Xoire provides AI-powered SaaS services, including but not limited to:

Voice AI agents

Chatbots

Automation workflows

Lead qualification systems

Optional AI consulting services

The Services assist with operational tasks such as routing, scheduling, and automated responses. They do not provide legal, medical, or financial advice, and do not make decisions with legal or similarly significant effects.


4. Account Registration & Access

You are responsible for:

Maintaining the confidentiality of account credentials

All activity occurring under your account

Ensuring accuracy of information provided


5. Payments, Billing & Fees

5.1 Pricing Model

Subscription fees and/or one-time fees, billed monthly unless otherwise stated

Free trials may be offered at Xoire’s discretion

5.2 No Refund Policy

All payments are non-refundable, including subscription fees, setup fees, and usage fees, unless expressly stated in writing.

5.3 Billing Failures

Failure to pay may result in suspension or termination of Services.

5.4 Third-Party / Pass-Through Fees

Customer may be charged separately for third-party usage or overages, including but not limited to:

Telephony minutes

Phone numbers

SMS

AI API usage

unless otherwise specified in an applicable Order Form.


6. Customer Responsibilities & Acceptable Use

You agree not to use the Services for any unlawful, harmful, deceptive, or abusive activity, including:

Spam, robocalls, or unsolicited marketing

Scams, fraud, impersonation, or harassment

Violations of privacy, telemarketing, or call-recording laws

Uploading or processing sensitive or regulated data without authorization

Infringing third-party intellectual property rights

You are solely responsible for compliance with all applicable laws.


7. AI Usage & Output Responsibility

7.1 AI Limitations

AI outputs:

May be inaccurate, incomplete, or outdated

Are provided “as is”

Must not be relied upon as professional advice

7.2 Output Responsibility

Customer is solely responsible for:

Reviewing AI outputs before use

How outputs are used or relied upon

Xoire does not guarantee business outcomes or accuracy.


8. Intellectual Property

8.1 Xoire IP

Xoire retains all rights, title, and interest in:

The platform

Software

Models

Documentation

Trademarks

8.2 Customer Data

Customer retains ownership of all data provided by or on behalf of Customer.

8.3 AI Outputs

Customer owns AI outputs generated specifically for them.
Xoire retains the right to improve its systems using de-identified and aggregated data only.

8.4 No Training by Default

Xoire will not use Customer Data or end-user conversations to train its general AI models unless expressly agreed in writing (opt-in).


9. Confidentiality

Each party agrees to:

Protect the other party’s Confidential Information using reasonable safeguards

Use Confidential Information solely to perform obligations under these Terms


10. Suspension & Termination

10.1 Customer Termination

Customer may cancel the Services at any time.

10.2 Xoire Termination

Xoire may suspend or terminate access:

For violations of these Terms

For non-payment

For legal or security reasons

Termination may occur with or without notice in cases of abuse or risk.


11. Availability & Beta Features

11.1 Availability

Services may be unavailable due to maintenance, updates, outages, or factors beyond Xoire’s control.
Uptime is not guaranteed unless stated in an Order Form.

11.2 Beta Features

Beta or preview features are:

Provided “as is”

Subject to change or discontinuation

Offered with limited or no support


12. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE.”
Xoire disclaims all warranties, express or implied, including:

Merchantability

Fitness for a particular purpose

Accuracy or reliability of AI outputs


13. Limitation of Liability

To the maximum extent permitted by law:

Xoire shall not be liable for indirect, incidental, special, or consequential damages

Xoire’s total liability shall not exceed the amount paid by Customer in the preceding 12 months

This limitation applies regardless of the legal theory.


14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India.

Any dispute shall be resolved by arbitration seated in Ambikapur, India, conducted in English, by a sole arbitrator.

Courts at Ambikapur, India shall have exclusive jurisdiction for:

Injunctive relief

Matters where arbitration is not permitted


15. Order Form & Contract Priority

If you and Xoire enter into a signed Master Services Agreement (MSA), Statement of Work (SOW), or Order Form, that agreement shall prevail over these Terms in case of conflict.


16. Customer Compliance Responsibility

Customer is responsible for:

Obtaining all required notices and consents

Compliance with AI use, call recording, marketing, telemarketing, and privacy laws


17. Publicity

Xoire may not use Customer’s name or logo in marketing materials without prior written consent.


18. Modifications

Xoire may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
